In this paper, the authors present the well-known issue of decision-making of management and supervisory bodies in the company, focusing on the board of directors as a body of a joint stock company. The validity of decisions of the collegial body and legal effect can be an important circum-stance and basis for the validity of individual legal transactions (including potential criminal offences), so it is necessary to determine the exact moment from which an individual decision is valid and legally effective and causes adequate legal consequences. The authors therefore highlight the comparative legal theory and practice for the discussed corporate consequences of the decisions of the bodies in the company, and provide adequate bases for easier operation and determining the validity and effectiveness of decisions of the bodies of companies.
