The validity of decisions of the collegial body and legal effect can be an important circum-stance and basis for the validity of individual legal transactions (including potential criminal offences), so it is necessary to determine the exact moment from which an individual decision is valid and legally effective and causes adequate legal consequences. The authors therefore highlight the comparative legal theory and practice for the discussed corporate consequences of the decisions of the bodies in the company, and provide adequate bases for easier operation and determining the validity and effectiveness of decisions of the bodies of companies"},{"@xml:lang":"sl","#text":"V prispevku avtorji predstavijo načeloma poznano problematiko sprejemanja odločitev organov vodenja in nadzora v družbi, pri čemer se osredotočijo na upravni odbor kot organ delniške družbe. Veljavnost odločitev (sklepov) kolegijskega organa in pravno učinkovanje sta lahko pomembna okoliščina in podlaga za veljavnost posameznih pravnih poslov (tudi potencialne storitve kaznivih dejanj), zato je treba natančno ugotoviti trenutek, od kdaj je posamezen sklep veljaven in pravno učinkovit, da lahko povzroča adekvatne pravne posledice.
