The article deals with the main novelties introduced by the latest amendments to the Slovenian Takeovers Act. Proposed solutions modify the institute of the takeover threshold and fair compensation in the case of the preceding request for judicial protection, exclusion and exit of minority shareholders of the offeree company, supplement the conditions for the authorization of a takeover bid, and the circumstances in which the takeover bid cannot be successful. The amendments also expand the content of the prospectus of the offeror and change the jurisdiction of the Slovenian Securities Market Agency concerning the decision prohibiting the exercise of the voting rights of the offeror in the oferee company. At the same time, the amendments incorporate T2S standards for corporate actions and adjust the provisions with the draft Book Entry Securities Act.
