In the EU, only around 16% of corporate seats in the largest listed companies are held by women. Women are faced by the co-called glass-ceilling preventing them to reach high leading and important economic decision-making positions. Balanced gender representation on company boards is one of the instruments to achieve greater de facto equality between women and men and, at the same time, it is supposed to have a positive impact on economic performance of enterprises. The article analyses the proposal for the directive on improving the gender balance among non-executive directors of companies listed on stock exchange and related measures, which has been initiated by the European Commission in November 2012.
