Amendments and supplements to the Slovenian Takeover Act-1 (The Law on Amendments and Supplements to the Takeover Act; TA-1G) can be divided into two parts. Thefirst is technical harmonization of takeover legislation resulting from the project TARGET2- Securities (T2S introduction of standards in Slovenia), which also includes harmonization of the TA-1 with a proposal far amendments to the Book Entry Securities Act. The second part consists of substantive amendments of the takeover legislation intended to eliminate the weaknesses and ambiguities of the existing regulation of company takeovers. This article presents and critically evaluates some substantive amendments to the Slovenian takeover legislation, namely: minimum takeover threshold, afair price for the exclusion of minority shareholders following a voluntary takeover bid, and an extension of obligations to disclose transactions before the takeover bid.
