The author discusses and compares the Slovenian Code of Corporate Governance, adopted in December 2009, and The UK Corporate Governance Code, adopted in September 2012. While according to the UK corporate law only one-tier management system of corporate governance is possible, shareholders in Slovenia can autonomously choose either a two-tier management system with management and supervisory board or one-tier management system with the board of directors. Beside system of corporate governance, essential difference between the codes of corporate governance also refers to the participation of employees and their role in the management of joint stock companies. Also some other, equally important, similarities and differences between the two codes are presented</dc:description><dc:description xml:lang="sl">Kodeks upravljanja javnih delniških družb vsebuje avtonomna pravila, ki zajemajo standarde in priporočeno prakso dobrega korporacijskega upravljanja ter postavljajo konkretnejše smernice za učinkovito vodenje in upravljanje gospodarskih družb. Avtorica obravnava in primerja slovenski Kodeks upravljanja javnih delniških družb, sprejet decembra leta 2009, in angleški The UK Corporate Governance Code, sprejet septembra leta 2012. Medtem ko je v Veliki Britaniji uveljavljen enotirni sistem upravljanja (javnih) delniških družb, lahko pri nas delničarji avtonomno izberejo bodisi dvotirni sistem upravljanja z upravo in nadzornim svetom bodisi enotirni sistem upravljanja z upravnim odborom. Poleg sistema upravljanja se kodeksa upravljanja družb bistveno razlikujeta tudi pri participaciji zaposlenih in njihovi vlogi pri upravljanju delniških družb.
