Even though the rule may also be invoked by members of banks% boards, the banking sector is provided with a significantly narrower margin of discretion as laid down by the regulation itself, which is attributable to specific banking regulation requirements and restrictions, pertaining to the management of various types of risks in particular"},{"@xml:lang":"sl","#text":"Avtor obravnava pravilo podjetniške presoje (angl. business judgment rule) in odškodninsko odgovornost članov uprave banke. Pravilo podjetniške presoje pomeni, da je ravnanje člana uprave v skladu s profesionalno skrbnostjo, če so izpolnjene določene predpostavke (podjetniška odločitev, dobrovernost, odsotnost nasprotja interesov, ravnanje na podlagi primernih informacij in ravnanje v najboljšem interesu družbe). Na pravilo podjetniške presoje se lahko sklicujejo tudi člani uprave banke, vendar je prostor diskrecije, ki ga to pravilo zagotavlja, v bančnem sektorju, ki je reguliran, precej ožji.
