Based on the findings of the analysis, the author of the article defines the key issues which may be in the future subject to regulation in the European law. Primarily, we are dealing with the issues relating to the exercise of shareholders% claims and cross-border issues relating to the duties and responsibilities of the members of bodies at the stage of insolvency or its close proximity. According to the author of the article, the study also presents some conclusions that could be useful for any reform of national law, independent of developments within the European Union"},{"@xml:lang":"sl","#text":"Avtor v članku analizira ugotovitve obsežne primerjalnopravne analize o dolžnostih in odgovornostih članov organov delniških družb v Evropski uniji, ki jo je po naročilu Evropske komisije izdelala London School of Economics. Na podlagi ugotovitev študije definira ključna vprašanja, ki so lahko v prihodnosti predmet reguliranja na ravni evropskega prava.
