The central part of the article is designed to address the provisions of Articles 349 and 352 of OA, respectively, which contain special rules that apply if there is a question of statute of prescription claims arising from commercial contracts. Jurisprudential and case law views are presented, as well as the author's own viewsInstitut zastaranja je urejen v Obligacijskem zakoniku in njegove določbe praviloma veljajo tudi za zastaranje terjatev iz gospodarskih pogodb. Osrednji del prispevka je namenjen obravnavi določb 349. in 352. člena OZ, v katerih so vsebovana posebna pravila, ki veljajo v primeru, če gre za vprašanje zastaranja terjatve iz gospodarske pogodbe.
