That is because their shares are being withdrawn irrespective of their will. Compulsory withdrawal is therefore permissible only if it was envisaged in the original statute or by a modification of the statute before the shares have been taken over or inscribed. Such conditions ensure that the company can not retroactively encroach upon acquired shareholders' rights. It is to be distinguished between statutory defined and statutory permitted withdrawal. Distinctions between them exist particularly with regard to possible grounds (purpose) of withdrawal as well as procedural frameworksPrisilni umik delnic je najintenzivnejši poseg v pravni položaj delničarjev, saj se ne glede na njihovo voljo umikajo delnice, ki so v njihovi posesti. Prisilni umik je zato dopusten le, če je bil predviden v prvotnem statutu ali s spremembo statuta pred prevzemom ali vpisom delnic. S tem se zagotavlja, da družba ne more retroaktivno poseči v pridobljene pravice delničarjev. Razlikovati je treba med statutarno določenim in dovoljenim prisilnim umikom.
