The latter with regard to the supervisory board as a whole, as well as to each of its members, and especially in view of the shareholders` rights to information that is primarily exercised at shareholder meetings. Considering the potential collision between the right to information and the role of each supervisory board member, questions arise whether the supervisory board is obliged to give replies to questions that are addressed to them and about their work in the company. Relevant laws do not provide clear answers. Thus, it is necessary to analyse the autonomous regulation of the company and its bodies and good business practice that can be found in several corporate governance codes"},{"@xml:lang":"sl","#text":"Prispevek obravnava zakonsko ureditev vloge in pomena nadzornega sveta ter pravice in pristojnosti nadzornega sveta kot organa in posameznega člana nadzornega sveta, predvsem v povezavi z uresničevanjem pravice delničarjev do obveščenosti, ki se praviloma uresničuje na skupščinah družb. V zvezi s pravico delničarjev do obveščenosti se zastavlja utemeljeno vprašanje, ali morajo člani nadzornega sveta biti prisotni na skupščini družbe in na njej odgovarjati na vprašanja delničarjev, če so ta naslovljena nanje in se nanašajo na njihovo delo v družbi.
