This article presents a comprehensive analysis of general contestable reasons, which are determined in Article 395 of ZGD-1. Due to the similarity between German and Slovenian regimes, this paper is extensively based on the findings of German case law and legal theory. Furthermore, this paper also analyses the differences between aforementioned regimes, whereby a special attention is given to the question of applicability of the theory of relevance with respect to the contestability of general meeting`s resolution in German and Slovenian regimes"},{"@xml:lang":"sl","#text":"Zakon o gospodarskih družbah (ZGD-1) pozna tako imenovane splošne in posebne izpodbojne razloge, ki lahko privedejo do razveljavitve sklepa skupščine delniške družbe. V članku so celostno analizirani splošni izpodbojni razlogi, ki so uzakonjeni v 395. členu ZGD-1. Zaradi podobnosti med slovensko in nemško ureditvijo navedene materije se članek v veliki meri opira na spoznanja nemške teorije in sodne prakse.
