Proposed solutions modify the institute of the takeover threshold and fair compensation in the case of the preceding request for judicial protection, exclusion and exit of minority shareholders of the offeree company, supplement the conditions for the authorization of a takeover bid, and the circumstances in which the takeover bid cannot be successful. The amendments also expand the content of the prospectus of the offeror and change the jurisdiction of the Slovenian Securities Market Agency concerning the decision prohibiting the exercise of the voting rights of the offeror in the oferee company. At the same time, the amendments incorporate T2S standards for corporate actions and adjust the provisions with the draft Book Entry Securities ActPrispevek obravnava poglavitne novosti, ki jih prinaša zadnja novela Zakona o prevzemih. Predlagane rešitve posegajo v institut prevzemnega praga in pravičnega nadomestila v primeru predhodne zahteve za sodno varstvo, izključitve in izstopa manjšinskih delničarjev iz ciljne družbe, dopolnjujejo pogoje za izdajo dovoljenja za prevzemno ponudbo in okoliščine, v katerih prevzemna ponudba ni uspešna, širijo vsebino prospekta prevzemnika in spreminjajo pristojnost Agencije za trg vrednostnih papirjev glede odločanja o prepovedi uresničevanja glasovalnih pravic prevzemnika v ciljni družbi.
