Therefore, branches cannot participate as independent bidders in public procurement procedures. This, however, does not mean that economic operators cannot participate in public procurement procedures through branches. The article introduces the general corporate and procedural characteristics of branches. The central part of the article is aimed at presenting the regulation of branches by the Slovenian Public Procurement Act. The reasons for participating in public procurement procedures through branches and the differences between a branch and a subsidiary are explained. Based on the analysis of the cases of the Slovenian National Review Commission, it is shown how foreign economic operators with branches in Slovenia should correctly submit a bid in public procurement procedures"},{"@xml:lang":"sl","#text":"Podružnice so notranje organizacijske enote matične družbe in niso samostojni nosilci pravic in obveznosti, temveč v pravna razmerja vstopajo v imenu in za račun matične družbe. Zato ne morejo nastopati kot samostojni ponudniki v postopkih javnega naročanja. Vendar to ne pomeni, da gospodarski subjekti v postopkih javnega naročanja ne morejo nastopati prek podružnic. V članku so uvodoma predstavljene splošne korporacijske in procesne značilnosti podružnic. Osrednji del članka je namenjen predstavitvi njihove ureditve v Zakonu o javnem naročanju. Pojasnjeni so razlogi za nastopanje v postopkih javnega naročanja prek podružnic ter razlike med podružnico in hčerinsko družbo.
