In the process of selling businesses in state-owned enterprises, the state as the seller must take full account of the EU rules on state aid, which is the case if the sale does not take place with the first sale or selling on the stock exchange. Sales outside the regulated market shall be subject to a number of conditions. The basic premise is that there is no state aid if the state acts as the seller would have acted in the same circumstances as a private seller. Non-price vendor requirements are problematic in terms of the assessment of inadmissible state aid because the state vendor in return adopts a lower price. All the requirements do not necessarily constitute state aid. Problematic and non-problematic conditions are discussed"},{"@xml:lang":"sl","#text":"Avtor obravnava trk postopka prodaje in problematike državnih pomoči. Državni prodajalec mora v postopku prodaje podjetij v delni ali celotni državni lasti v celoti upoštevati pravila EU o državnih pomočeh, sploh če se prodaja ne izvede s prvo prodajo ali s prodajo na borzi. Za prodajo zunaj organiziranega trga mora biti izpolnjena vrsta pogojev. Temeljno vodilo je, da ne gre za državno pomoč, če državni prodajalec ravna tako, kot bi v enakih okoliščinah ravnal zasebni prodajalec, ki ga pri prodaji vodi interes maksimiranja prodajne cene. Neekonomske/necenovne zahteve državnega prodajalca so problematične z vidika presoje nedopustnih državnih pomoči, ker državni prodajalec v zameno zanje praviloma prejme nižjo kupnino. Pogoje se sicer praviloma postavlja vsem potencialnim ponudnikom, kar na prvi pogled zagotavlja neselektivnost in nediskriminatornost, sporno pa je, če bodoči kupec sprejme obveznost, naloženo s strani prodajalca. Če kupec sprejme zaveze, ki neposredno ali posredno ne vplivajo na kupnino, praviloma ne bo šlo za državno pomoč, kar pomeni, da vsi pogoji, s katerimi je pogojena privatizacijska transakcija, niso nujno državna pomoč.
