It is therefore completely understandable that the law liberates the manager from liability for damages caused to the company if their action is based on a lawful resolution of the shareholders. The paper therefore addresses the extent of this shareholders' right and substantiates the prerequisites under which the manager shall not be held liable for damages caused to the company by carrying out a detrimental instruction of the shareholdersMožnost družbenikov, da dajejo navodila poslovodji o vodenju poslov družbe, je bistvena značilnost družbe z omejeno odgovornostjo. Povsem razumljivo zato zakon razbremenjuje poslovodjo odgovornosti za škodo, povzročeno družbi, če njegovo dejanje temelji na zakonitem sklepu družbenikov.
