The subsidiarity of the withdrawal must be considered. In relation to the circumstances within the company's sphere, it is disputed whether the occurrence of company's dependency constitutes justified grounds for the withdrawal. According to the author, the answer should be affirmative. A consensual withdrawal is also a possibility. Unless otherwise agreed, it is subject to the same legal consequences as the contractual and judicial withdrawal. Razdelimo jih lahko na ravnanja drugih družbenikov, na okoliščine iz sfere družbe in na osebne okoliščine družbenika, ki želi izstopiti. Upoštevati je treba subsidiarnost izstopa. V zvezi z okoliščinami iz sfere družbe je sporno, ali je utemeljeni izstopni razlog tudi nastanek odvisnosti družbe. Po avtorjevem mnenju je odgovor pritrdilen. Možen je tudi sporazumni izstop. Če ni drugače dogovorjeno, veljajo zanj enake pravne posledice kot za pogodbeni in sodni izstop. Sprejem predloga za sporazumni izstop mora temeljiti na sklepu družbenikov.
