The author points out some open questions, especially in Slovenian law. Some of these questions have not yet been dealt with by theory and case law. The German interpretation, which is also sometimes non-consistent, is presented. In accordance with the similarity of the German and Slovenian regulations, it is sensible to look for and give Slovenian law the same or similar interpretation as in the German lawRdeča nit prispevka je odločanje nadzornega sveta, pri čemer avtor primerja slovensko in nemško pravno ureditev v skladu z 257. členom Zakona o gospodarskih družbah (ZGD-1) in par. 108 nemškega Aktiengesetzt (Zakon o delnicah oziroma delniški družbi; AktG). Izpostavi nekaj, predvsem v slovenskem pravu, spornih vprašanj. Z nekaterimi se teorija in sodna praksa še nista ukvarjali niti dali pravne razlage. Ob tem je predstavljena razlaga nemške ureditve, ki si včasih prav tako ni enotna.
