Since a common system requires a high level of harmonized rules regarding its operations, it is mandatory for KDD to preliminarily adjust its settlement process with CASG/CAJWG corporate actions standards in use by T2S System. One of such corporate actions being takeover, the following will be the most significant changes applied to takeover bid procedure as laid down in Takeovers Act (ZPre-1): modification of manner to pay the purchase price to acceptor, restricting the role of KDD member acting on behalf of the bidder, and redefining the moment when the contract between the bidder and acceptor is deemed concluded. All the changes mentioned have already been observed upon the preparation of the draft Act amending the Takeovers Act (ZPre-1G)"},{"@xml:lang":"sl","#text":"KDD - Centralna klirinško depotna družba se bo v februarju 2017 operativno vključila v sistem T2S (Target2-Securities), ki je enotna evropska informacijska platforma za izvajanje poravnav poslov z vrednostnimi papirji. Ker enoten sistem zahteva visoko stopnjo harmonizacije pravil, po katerih deluje, ima KDD obveznost, da izvajanje poravnav predhodno uskladi s standardi CASG/CAJWG za korporacijska dejanja, ki jih uporablja sistem T2S. Za eno izmed korporacijskih dejanj po navedenih standardih šteje tudi prevzem. Med najpomembnejše spremembe v postopku s prevzemno ponudbo po ZPre-1, ki jih narekuje vključitev v sistem T2S, spadajo sprememba načina izplačevanja kupnine, omejitev vloge pooblaščenega člana ter sprememba trenutka, ko velja pogodba med prevzemnikom in akceptantom za sklenjeno.
