Instead of clear doctrine of the institute of the discharge, there are many varieties in Slovenian practice, which are not in accordance to the established corporate and court practice. That is the reason why authors emphasise the clear stands in comparative theory and practice with the desire to avoid the cause of the damage to the companies and board members in the future with the \"excellent\" corporate practice"},{"@xml:lang":"sl","#text":"V praksi slovenskih družb se hkrati z odločanjem o uporabi bilančnega dobička skupščine odločajo tudi o (ne)podeljevanju razrešnice članom organov vodenja ali nadzora. Kljub doktrinarno jasnemu korporacijskemu institutu razrešnice pa prihaja v praksi na skupščinah do različnih primerov, ki niso vedno skladni z že znano \"dobro\" korporacijsko prakso in uveljavljeno domačo in tujo sodno prakso. Zato je namen prispevka predvsem opozoriti na jasna stališča v primerjalni teoriji in praksi.
