The institute was newly regulated in Slovenian law by the Takeovers Act (ZPre-1) in 2006 for the purpose of harmonisation with the Thirteenth EU Directive. The Directive's main purpose was to take the necessary measures at the EU level to protect minority shareholders in the event of taking control of their companies. The article also presents the reasons for the establishment of the institute, discusses issues related to its placement in the legislation, describes the legal presumptions and the legal consequences that arise with it. A comparative legal analysis of the regulation of the institute is discussed along with the relevant case law. The conclusions of the authors are given at the end"},{"@xml:lang":"sl","#text":"Avtorici obravnavata institut skupnega prevzema oziroma usklajenega delovanja (angl. persons acting in concert) in njegovo implementacijo v slovenski pravni red. Institut je bil v slovenskem prevzemnem pravu na novo urejen z Zakonom o prevzemih (ZPre-1) iz leta 2006, s katerim je Slovenija uskladila prevzemno zakonodajo s Trinajsto direktivo EU, katere glavni namen je bil sprejetje potrebnih ukrepov na ravni EU za zaščito zlasti manjšinskih delničarjev v primeru prevzema kontrole nad njihovimi družbami. V članku so predstavljeni tudi razlogi za nastanek instituta, obravnavana vprašanja, ki so povezana z umestitvijo instituta v prevzemno zakonodajo, opisane zakonske domneve koncentriranja in pravne posledice, ki se pojavljajo v zvezi z omenjenim institutom. V nadaljevanju je obravnavana primerjalnopravna analiza ureditve instituta usklajenega delovanja ter predstavljena sodna praksa, ki se pojavlja v zvezi z njim.
